4Geeks Affiliate Partners Program Terms

This 4Geeks Affiliate Agreement (“Agreement”) is entered into by and between 4Geeks (“4Geeks”), and the undersigned 4Geeks Affiliate (“Affiliate”), collectively referred to as the “Parties.”

1. Purpose

The purpose of this Agreement is to establish the terms and conditions under which the Affiliate may refer potential customers (“Customers”) to 4Geeks for the purpose of purchasing 4Geeks’ services—including custom product development, cloud solutions, data analytics, AI, and growth marketing—and in return, receive a commission based on the Customers’ consumption of 4Geeks services.

2. 4Geeks Services and Pricing

4Geeks’ services and pricing are detailed on the 4Geeks website. Pricing is based on the specific scope of work, subscription models, or usage as defined in the Customer’s contract with 4Geeks.

Affiliates acknowledge that pricing may change at 4Geeks’ discretion without prior notice to the Affiliate, though such changes will typically be communicated to new Customers during the sales process.

3. Referral Process and Platform

To participate in the program and ensure accurate attribution, the Affiliate agrees to the following tracking and management procedures:

  • Referral Methods: To be eligible for commissions, Affiliates must refer Customers using their assigned unique affiliate link or by submitting the lead details directly to the 4Geeks Partner Portal. Referrals not tracked via these specific methods may not be eligible for commission attribution.

  • Management Platform (Partnero): The Affiliate Program utilizes Partnero as the central management platform. Partnero is responsible for:

  • Tracking & Cache: Managing tracking cookies, cache, and attribution windows to ensure referrals are correctly assigned to the Affiliate.
  • Reports: Providing the Affiliate with access to real-time performance data, lead status, and financial statements.
  • Payouts: Managing the calculation, processing, and disbursement of commission payments.

4. Commission Structure

The Affiliate shall receive compensation for each eligible Customer referred to 4Geeks under the following terms:

  • Commission Tiers: The Affiliate shall receive compensation based on the specific type of service purchased by the Customer:
  • Products (15% Commission): Affiliates will earn fifteen percent (15%) of the Customer’s subscription or fees for the following 4Geeks products: 4Geeks Teams, 4Geeks Perks, 4Geeks Health, 4Geeks Talent, 4Geeks Assets, and 4Geeks AI Agents.

  • Consulting Services (10% Commission): Affiliates will earn ten percent (10%) of the Customer’s service fees for the following 4Geeks consulting services: Product Engineering, Growth Engineering, Data Engineering, and Cloud Engineering.

  • Duration: Commissions are paid for a period of twelve (12) months from the date of the Customer’s initial payment, or until the Customer terminates their account, whichever occurs first.

  • Active Status: For the purposes of this Agreement, a Customer shall be considered “active” in any given month only if they have paid their invoice in full for that month.

  • Commission Cessation: Commission payments shall cease immediately if the Customer churns or cancels their service.

5. Exclusions

No commission will be paid for Customers who:

  • Already had a 4Geeks account or active contract prior to the referral.
  • Had entered their information into any 4Geeks lead acquisition form prior to the referral.
  • Are already in active discussions with a 4Geeks sales representative.
  • Are self-referrals (the Affiliate referring their own business).

6. Payment Terms

  • Management: All payouts are managed and processed through Partnero.
  • Maturation Period: Commissions are credited after a 45-day maturation period to account for client onboarding, billing cycles, and potential refunds.
  • Payment Schedule: Once the maturation period is complete, payments will be processed monthly.
  • Payment Method: Payments will be made via Bank Transfer or PayPal, or other methods supported and selected within the Partnero dashboard.
  • Payment Conditions: Commissions are contingent upon the full payment of the fees by the Customer. In the event of a partial payment or refund, commission amounts will be adjusted or clawed back accordingly.

7. Term and Termination

This Agreement shall commence on the date the Affiliate is approved into the program and shall continue in effect until terminated by either party. 4Geeks reserves the right to terminate this Agreement immediately if the Affiliate violates the Promotion Guidelines or engages in unethical behavior. Otherwise, either party may terminate with thirty (30) days’ written notice.

8. Confidentiality

Both parties agree to keep the terms of this Agreement, including specific commission data, and any proprietary information exchanged between them confidential.

9. Independent Contractor

The Affiliate is an independent contractor and is not considered an employee, agent, or partner (in a legal sense) of 4Geeks. The Affiliate has no authority to bind 4Geeks to any agreement.

10. Governing Law

This Agreement shall be governed by the laws of England and Wales. Any disputes arising under this Agreement shall be resolved in the courts located in London, United Kingdom.

11. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

12. Contract Modifications

4Geeks reserves the right to update these terms. Significant modifications to this Agreement will be communicated to the Affiliate. Continued participation in the program following such changes constitutes acceptance of the new terms.

13. Non-Competition & Brand Bidding

The Affiliate agrees not to engage in Pay-Per-Click (PPC) advertising bidding on branded keywords such as “4Geeks,” “4Geeks Academy,” or any variations or misspellings thereof on search engines (Google, Bing, etc.) without prior written approval.

14. Limitation of Liability

4Geeks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) the Affiliate’s participation in the program; (ii) any defect in the services provided to Customers; or (iii) unauthorized access to Affiliate accounts.

15. Intellectual Property Rights

All intellectual property rights in or arising out of or in connection with the services provided by 4Geeks shall be owned by 4Geeks. The Affiliate acknowledges that all trademarks, trade names, service marks, logos, and other intellectual property rights used by and associated with 4Geeks are and shall remain the sole property of 4Geeks.

The Affiliate is granted a limited, revocable, non-exclusive license to use 4Geeks’ provided marketing assets and logos solely for the purpose of promoting 4Geeks services in accordance with this Agreement. The Affiliate agrees to immediately cease any use or display of 4Geeks’ intellectual property upon request by 4Geeks or upon termination of this Agreement.

16. Promotion Guidelines

To remain eligible for commissions, the Affiliate must adhere to the following:

  • Ethical Marketing: Promote 4Geeks’ services accurately, avoiding misleading or exaggerated claims.
  • Content Compliance: Do not use affiliate links in content that is defamatory, obscene, illegal, or violates intellectual property rights.
  • Disclosure: Affiliates must comply with all applicable laws regarding affiliate disclosure (e.g., FTC guidelines), clearly stating their relationship with 4Geeks.
